Bylaws of the CA-Advisory Council on Military Education
CA -ACME BYLAWS
As of: March 22, 2019
ARTICLE I - NAME
The name of this organization shall be the California Advisory Council on Military Education (CA-ACME)
ARTICLE II - PURPOSE
Section 1. This organization is established to:
A. Promote and support quality education, professional and social programs that are available to all military personnel, veterans and their family members.
B. Collaborate with military and college educators and other professional organizations associated with academic and vocational education.
C. Submit recommendations to institutions and governmental agencies that support CA-ACME purposes. Identify, study, and seek solutions to issues that jointly affect colleges and military, veterans and eligible family members.
ARTICLE III- MEMBERSHIP
Section 1. Membership is encouraged and may be held by:
A. Representatives from private and public institutions of higher learning accredited by regional or national agencies and/or approved by State Approving Agencies (SAA).
B. Federal and state agencies, non-governmental organizations (NGOs), and other military/veteran service organizations that have interest in serving CA-ACME objectives.
C. Education Services Officers and education staff from all military services.
D. Veterans, Educational Counselors, Advisors and all staff persons of public and private institutions of higher learning assisting active duty, veteran students and eligible family members.
E. Memberships shall be determined and approved by the Board of Directors.
ARTICLE IV - ORGANIZATION
Section 1. Board of Directors.
The Board of Directors shall supervise, control, and direct affairs of the organization, pursue its purposes and determine its policies consistent with its mission and vision, except as otherwise provided in these Bylaws. The Board may propose operating rules and procedures as deemed necessary to carry on day-to-day operations. The CA-ACME members shall receive notice, of a minimum of 45 days, of any changes to these Bylaws or policies adopted by the Board of Directors. To serve on the CA-ACME board the Director’s institution/organization must be a CA-ACME member.
Section 2. Officers.
The officers shall be: President, President Elect, Vice President, Vice President Elect, Treasurer, Secretary, Chair of Military and Veterans, Chair of Scholarship and Fundraising, and Chair of Institutions. Where appropriate, all Board Members will serve without compensation. Any elected officer who fails to fulfill the duties or term of office will be replaced at the next CA-ACME board meeting through the appointment process.
A. Election of Officers. Elections of officers will be held every year.
B. The President will be replaced by the existing President Elect on election years and may remain on the Board as Past President.
C. Military Educational representatives shall be appointed based on the review of the board and will hold no voting rights.
D. Terms of Office shall be approximately one year for elected positions of President, President Elect, Vice President and Vice President Elect and appointed officers. Terms of Office shall be approximately two years for elected positions of Secretary and Treasurer. Immediate Past President retains voting rights for one year.
E. Vacancies in Offices. Pursuant to Section 1 of this Article, any vacancy shall be filled by appointment by the President. If the President is absent or otherwise unavailable, the Vice President shall make appointments as necessary.
Section 3. Meetings.
The Board of Directors Meetings shall be scheduled by the Board to occur at least annually. General membership meetings and annual symposium shall be scheduled by the Board.
Section 4. Quorum.
A majority of the voting member institutions shall constitute a quorum at annual symposia. A majority of the Board of Directors shall constitute a quorum at board meetings. The President or Vice President must be in attendance at a Board Meeting in addition to a quorum. Non-member institutions or advisory members DO NOT have voting rights.
ARTICLE V- ADMINISTRATION
Section 1. Duties of Officers.
A. The President
The President is the elected principal officer of CA-ACME and shall:
Serve as the primary spokesperson for CA-ACME; Work with the Secretary to develop the agenda for and conduct all CA-ACME meetings; Appoint all standing and special committee chairs with advice and consent of the Board; Ensure programs are developed and carried out to achieve the purposes of CA-ACME consistent with the mission and vision of CA-ACME; Appoint replacements for the offices of Secretary, Treasurer, Chair of Military and Veterans, Chair of Scholarship and Fundraising, and Chair of Institutions with advice and consent of the Board, for vacant positions; Have other duties as assigned by the Board of Directors and/or members.
B. The President - Elect
The President-Elect shall be elected every year at the annual symposium to serve a one-year term. Upon completion of the one-year term, the President-Elect shall automatically become President. President Elect and President terms are for a total of two years. President-Elect nominees must have a minimum of two years previous experience on the CA-ACME Board in either an elected or appointed position.
The President-Elect shall perform the duties of the President in the absence of the President, and/or assume the Office of the President in the event of a vacancy.
C. The Vice President is the elected officer who:
Assumes the duties of the President in the President and President Elect’s absence; Represents constituencies within the organization; Works with the appropriate Chairs regarding policies or procedures to find an acceptable resolution; Has other duties as assigned by the President or Board of Directors and/or members.
D. The Vice President - Elect
The Vice President-Elect shall be elected every year at the annual symposium to serve a one-year term. Upon completion of the one-year term, the Vice President-Elect shall automatically become Vice President for one year. Vice President Elect and Vice President terms are for a total of two years. The Vice President-Elect shall perform the duties of the Vice President in the absence of the Vice President, and/or assume the Office of the Vice President in the event of a vacancy.
The Annual Symposium Agenda Planning Committee shall be chaired by the Vice President-Elect and shall:
E. Treasurer
The Treasurer shall be elected every two years at the annual symposium to serve a two-year term. The Treasurer shall: Maintain a complete accounting of accounts receivable and payable and make a report available upon the Board’s request; Maintain State and Federal Compliance requirements for 501c3; Ensure annual filings are current; Perform other duties as assigned.
F. Secretary
The Secretary shall be elected every two years at the annual symposium to serve a two-year term. The Secretary shall: Keep a record of the deliberations of CA-ACME including meeting agendas and minutes; Maintain the correspondence and history of CA-ACME; Maintain the CA-ACME website and quarterly Newsletter; Serve as POC for Public Relations; Perform other duties as assigned.
G. Chairs
Chairs shall: Represent their respective constituency within the organization; Perform other duties as assigned.
Section 2. Conducting Meetings
Unless otherwise stated herein, Roberts Rules of Order, Revised, shall govern all meetings of the CA-ACME, consistent with applicable statues and these Bylaws, unless other specific procedures are approved by the Board of Directors.
In the absence of the President , meetings shall be presided over by the following in order listed:
President Elect
Vice President
Vice President Elect
Secretary
Treasurer
Section 3. Power of Attorney.
The officers of the Association shall have authority as attorney-in-fact to execute and acknowledge on behalf of the Association, legal documents or other instruments in connection with the operation of the Association as approved by the Board of Directors.
ARTICLE VI - STANDING COMMITTEES
Standing committees may be appointed by the President or Board of Directors, as needed.
ARTICLE VII - AMENDMENT OF BYLAWS
Section 1. The Bylaws may be revised by motion duly made and seconded, and approved by a two-thirds vote of those members present at the CA-ACME Board of Directors meeting or pursuant to the following process:
A. Amendment of these Bylaws may be proposed in writing by any voting member of CA-ACME. Written proposals shall be submitted to the Secretary.
B. Proposals by members shall be referred to a Bylaws Review Committee appointed by the President for study and recommendation to the Board of Directors. If approved by the Board of Directors, the recommended amendment will be distributed in writing to the membership at least forty-five (45) days prior to a Board of Directors meeting. Amendments shall be adopted by a two-thirds vote of Board members present at the CA-ACME Board of Directors meeting.

- Prepare and present ideas for the theme and content of the annual symposium. These ideas will be presented to the Board at each year’s first working meeting.
- Designate a Speaker Coordinator.
- Identify and coordinate general session speakers and panel participants.
- Assign Board members to introduce general session speakers and general panel facilitators during the symposium.
E. Treasurer
The Treasurer shall be elected every two years at the annual symposium to serve a two-year term. The Treasurer shall: Maintain a complete accounting of accounts receivable and payable and make a report available upon the Board’s request; Maintain State and Federal Compliance requirements for 501c3; Ensure annual filings are current; Perform other duties as assigned.
